Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and C&S Political ("Company," "we," "us," or "our") regarding your use of our website, services, and political consulting offerings.

By accessing our website, engaging our services, or participating in our campaigns, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

2. Services Description

C&S Political provides comprehensive political consulting and campaign services, including but not limited to:

  • Political Strategy Development: Campaign planning, field operations, phone banking, and grassroots organizing
  • Messaging & Communications: Message development, speechwriting, and press release creation
  • Public Relations & Media Engagement: Media buying partnerships, digital advertising, and social media strategy
  • Voter Outreach & Engagement: Door-to-door canvassing, phone banking, peer-to-peer texting, and volunteer management
  • Data Analytics & Research: Voter file analysis, predictive modeling, micro-targeting, and GIS mapping
  • Election Compliance & Strategy: Campaign finance compliance, FEC and state filing services, and legal guidance

The specific services provided will be outlined in individual service agreements or contracts with clients.

3. User Obligations and Conduct

3.1 Eligibility

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you meet this age requirement.

3.2 Account Responsibilities

If you create an account with us, you are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Providing accurate, current, and complete information

3.3 Prohibited Activities

You agree not to:

  • Use our services for any illegal or unauthorized purpose
  • Violate any federal, state, or local election laws
  • Transmit malware, viruses, or harmful code
  • Harass, abuse, or harm other users or individuals
  • Impersonate any person or entity
  • Interfere with or disrupt our services or servers
  • Collect or harvest data from our website without authorization
  • Use our services to spread misinformation or disinformation
  • Violate any applicable campaign finance regulations

4. Client Agreements and Contracts

4.1 Service Agreements

Specific political consulting services will be governed by separate written agreements between C&S Political and the client. These service agreements will specify:

  • Scope of services to be provided
  • Timeline and deliverables
  • Compensation and payment terms
  • Confidentiality obligations
  • Performance metrics and success criteria

4.2 Term and Termination

Service agreements typically run for the duration of a campaign or a specified contract period. Either party may terminate the agreement as outlined in the specific contract, subject to notice requirements and any applicable termination fees.

5. Payment Terms

5.1 Fees and Pricing

Fees for our services will be specified in individual service agreements. Pricing may be structured as:

  • Fixed project fees
  • Monthly retainers
  • Hourly rates
  • Performance-based compensation
  • Hybrid fee structures

5.2 Payment Schedule

Payment terms will be outlined in your service agreement. Typical arrangements include:

  • Initial deposits or retainers
  • Monthly billing cycles
  • Milestone-based payments
  • Net 30 payment terms for invoices

5.3 Late Payments

Late payments may be subject to interest charges and may result in suspension of services. We reserve the right to charge a late fee of 1.5% per month (or the maximum allowed by law) on overdue balances.

5.4 Refunds

Due to the nature of political consulting services, fees are generally non-refundable once services have commenced. Refund policies for specific services will be outlined in individual contracts.

6. Intellectual Property Rights

6.1 Company Intellectual Property

All content on our website, including text, graphics, logos, images, software, and designs, is the property of C&S Political or its licensors and is protected by copyright, trademark, and other intellectual property laws.

6.2 Work Product and Deliverables

Ownership of work product created during the course of our services will be addressed in individual service agreements. Typically:

  • Custom campaign materials created for a client become the property of that client upon full payment
  • We retain the right to use proprietary methodologies, tools, and technologies
  • We may showcase work in portfolios with client permission
  • Pre-existing intellectual property remains our property

6.3 License to Use Content

By submitting content to us (such as testimonials, photos, or campaign materials), you grant us a non-exclusive, royalty-free license to use, reproduce, and display that content in connection with our services.

7. Confidentiality

Both parties agree to maintain the confidentiality of sensitive information shared during the course of our professional relationship, including:

  • Campaign strategy and tactics
  • Voter data and analytics
  • Financial information
  • Internal communications
  • Proprietary methodologies

Confidentiality obligations survive the termination of the service relationship and may be subject to separate non-disclosure agreements.

8. Disclaimers and Warranties

8.1 No Guarantee of Electoral Success

While we provide professional political consulting services, we cannot and do not guarantee the outcome of any election or campaign. Electoral success depends on numerous factors beyond our control, including candidate quality, political environment, resources, and voter preferences.

8.2 Services Provided "As Is"

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.3 No Legal or Tax Advice

While we provide guidance on campaign compliance, we are not a law firm and do not provide legal advice. Clients should consult with qualified attorneys for legal matters.

9. Limitation of Liability

To the fullest extent permitted by law:

  • C&S Political shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
  • Our total liability for any claims related to our services shall not exceed the amount paid by the client for those services during the six months preceding the claim
  • We are not responsible for damages resulting from factors beyond our reasonable control, including technical failures, acts of God, or changes in political circumstances

10. Indemnification

You agree to indemnify, defend, and hold harmless C&S Political, its officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms
  • Your violation of any election laws or regulations
  • Your misuse of our services
  • Content you provide to us
  • Your infringement of any third-party rights

11. Campaign Compliance and Legal Matters

Clients engaging our services for campaign work acknowledge their responsibility to:

  • Comply with all applicable federal, state, and local election laws
  • File required campaign finance reports accurately and timely
  • Maintain proper records of contributions and expenditures
  • Ensure all communications include required disclaimers
  • Obtain necessary approvals for campaign materials

While we provide compliance assistance, ultimate responsibility for legal compliance rests with the candidate and campaign.

12. Data Protection and Privacy

Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to our data practices as described in the Privacy Policy.

13. Third-Party Services and Links

Our services may integrate with or link to third-party services, including:

  • Social media platforms
  • Voter file databases
  • Payment processors
  • Advertising platforms
  • Analytics tools

We are not responsible for the practices, policies, or content of third-party services. Your use of third-party services is subject to their respective terms and conditions.

14. Dispute Resolution

14.1 Informal Resolution

In the event of any dispute, claim, or controversy arising from these Terms or our services, the parties agree to first attempt to resolve the matter through good-faith negotiations.

14.2 Arbitration

If informal resolution is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Memphis, Tennessee, unless otherwise agreed.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date
  • Sending email notifications for significant changes

Your continued use of our services after changes become effective constitutes acceptance of the modified Terms.

16. Termination

We reserve the right to terminate or suspend access to our services immediately, without prior notice or liability, for any reason, including:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • At our sole discretion

Upon termination, your right to use our services ceases immediately.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and C&S Political regarding our services and supersede all prior agreements and understandings.
